Service Cooperation Introduction
Welcome to Taixing Haiwang Silicone Products Co., Ltd. ("Haiwang Silicone", "we", "us", or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between Haiwang Silicone and any business entity, trading company, or individual ("Client", "you") engaging our manufacturing and customization services.
By submitting an inquiry, placing an order, or entering into any written agreement with us, you acknowledge that you have read, understood, and agreed to be bound by these Terms. These Terms apply to all B2B transactions including OEM/ODM orders, bulk supply agreements, and custom product development projects.

Haiwang Silicone provides the following manufacturing and trade services to qualified B2B clients worldwide:
Note: Services not explicitly listed above require a separate written agreement. Haiwang Silicone reserves the right to decline orders that conflict with our production capabilities or regulatory requirements.
Order Confirmation & Payment Terms
A
Order Placement & Confirmation
3.1 All orders must be submitted in writing via email, official purchase order, or our designated inquiry system. Verbal commitments are not binding.
3.2 An order is considered confirmed only upon receipt of our written order acknowledgment ("Order Confirmation") and the agreed deposit payment.
3.3 For custom OEM/ODM orders, clients must provide complete technical specifications including dimensions, material grade, hardness (Shore A), color, and applicable certifications. Haiwang Silicone is not liable for production errors resulting from incomplete or inaccurate specifications.
3.4 Minimum order quantities (MOQ) apply and will be specified in the individual quotation. We reserve the right to adjust MOQ based on product complexity and material availability.

Pricing & Payment
3.5 All prices are quoted in USD (or as agreed) and are valid for 30 days from the date of quotation, subject to raw material market fluctuations.
3.6 Standard payment terms: 30% deposit upon order confirmation; 70% balance before shipment. Alternative terms (e.g., L/C, Net 30) may be negotiated for established long-term clients.
3.7 Accepted payment methods: T/T (Telegraphic Transfer), L/C at sight, Western Union, and other methods as mutually agreed in writing.
3.8 All bank charges and transfer fees are the responsibility of the Client. Payments must be received in full (net of any bank deductions) before production commencement or shipment release.

Mold & Tooling Fees
3.9 Mold and tooling costs for custom products will be quoted separately. Molds remain the property of Haiwang Silicone unless a written mold ownership agreement is executed.
3.10 Haiwang Silicone offers free prototype development for qualifying orders. Prototype approval must be confirmed in writing before mass production begins.
Quality Standards & Delivery
Quality Assurance
4.1 All products are manufactured in compliance with ISO9001 quality management standards. Relevant certifications (FDA, LFGB, RoHS, REACH) are available upon request for applicable product lines.
4.2 Pre-shipment inspection reports and test certificates will be provided for each order. Third-party inspection (e.g., SGS, Bureau Veritas) can be arranged at the Client's expense.
4.3 Acceptable quality level (AQL) and tolerance specifications will be defined in the product specification sheet agreed upon before production. Claims for quality deviations must be submitted within 30 days of receipt of goods, accompanied by photographic evidence and a detailed defect report.
4.4 Haiwang Silicone's liability for confirmed quality defects is limited to replacement of the defective quantity or a proportional refund, at our discretion. We do not accept liability for consequential losses arising from product defects.
Delivery & Shipping
4.5 Lead times are specified in the Order Confirmation. Standard production lead time is 15-30 business days for regular orders; custom/mold orders may require additional time.
4.6 Default shipping terms are FOB Nanjing/Shanghai Port unless otherwise agreed. Risk of loss passes to the Client upon delivery to the carrier.
4.7 Haiwang Silicone will arrange export customs clearance. Import customs duties, taxes, and local compliance are the sole responsibility of the Client.
4.8 Delivery dates are estimates based on normal production conditions. We are not liable for delays caused by force majeure events, raw material shortages, or carrier disruptions.
Intellectual Property & Confidentiality
5.1 Client IP: All technical drawings, specifications, designs, and proprietary information provided by the Client for OEM/ODM purposes remain the exclusive intellectual property of the Client. Haiwang Silicone will not reproduce, disclose, or use such information for any purpose other than fulfilling the agreed order.
5.2 Haiwang IP: All production processes, formulations, tooling designs, and manufacturing know-how developed by Haiwang Silicone remain our exclusive intellectual property, regardless of customization performed for the Client.
5.3 Non-Disclosure: Both parties agree to maintain strict confidentiality of the other party's proprietary information. This obligation survives the termination of any business relationship for a period of 3 years.
5.4 Exclusivity: Exclusivity arrangements for specific product designs or formulations require a separate written exclusivity agreement and minimum annual purchase commitment.
5.5 Client Warranty: The Client warrants that any designs, trademarks, or specifications provided for OEM/ODM production do not infringe any third-party intellectual property rights. The Client shall indemnify Haiwang Silicone against any claims arising from such infringement.
Liability Disclaimer & Risk Allocation
⚠ Important Legal Notice
The following provisions limit or exclude certain liabilities of Haiwang Silicone. Please read carefully. By placing an order, you accept these limitations as a reasonable allocation of commercial risk between the parties.
Limitation of Liability
To the maximum extent permitted by applicable law, Haiwang Silicone's total liability for any claim arising from or related to a specific order shall not exceed the total value paid by the Client for that order. We exclude all liability for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, loss of business, or production downtime.
Application Suitability
The Client is solely responsible for verifying the suitability of our products for their intended application, regulatory environment, and end-use requirements. Haiwang Silicone provides material certifications and test data as reference; however, we do not warrant fitness for any specific application not expressly agreed in writing.
Force Majeure
Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to: natural disasters, pandemics, government restrictions, port closures, raw material supply disruptions, or transportation failures. The affected party must notify the other within 7 business days of such an event.
Import Compliance
Haiwang Silicone is not responsible for compliance with import regulations, local certifications, or market-specific product standards in the Client's country. The Client must ensure all required local approvals are obtained prior to placing an order. We will provide supporting documentation (test reports, certificates) as available.
Cancellation & Returns
Orders may not be cancelled after production has commenced without written consent from Haiwang Silicone. Approved cancellations are subject to a cancellation fee covering actual production costs incurred. Custom-made products are non-returnable unless a confirmed manufacturing defect is established.

Product images, descriptions, and specifications on our website are for reference purposes only. Actual product specifications will be defined in the agreed technical documentation and Order Confirmation. Haiwang Silicone reserves the right to update product information without prior notice.
Governing Law & Dispute Resolution
7.1 These Terms and any disputes arising from business transactions with Haiwang Silicone shall be governed by the laws of the People's Republic of China, without regard to conflict of law principles.
7.2 The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice of the dispute.
7.3 If negotiation fails, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for binding arbitration in accordance with its arbitration rules. The arbitration shall be conducted in Chinese; however, English translations will be provided upon request.
7.4 Notwithstanding the above, Haiwang Silicone reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
7.5 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Amendments & Contact
8.1 Haiwang Silicone reserves the right to update or amend these Terms at any time. Updated Terms will be published on our official website. Continued business engagement after publication of updated Terms constitutes acceptance of the revised Terms.
8.2 These Terms constitute the entire agreement between the parties with respect to their subject matter and supersede all prior negotiations, representations, or agreements relating thereto, unless a separate written contract has been executed.
8.3 Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of Haiwang Silicone.
